1. About Learnaxis
Learnaxis is a web-based business management platform designed for small businesses, freelancers, independent consultants, agencies, and other service-based businesses. The Platform brings together four core areas of business operation under a single dashboard: customer relationship management, allowing Customers to manage customer and lead records, sales pipelines, and follow-up activity; project management, allowing Customers to organise projects, tasks, deadlines, and team assignments; HR administration, allowing Customers to maintain employee records, manage leave, and support onboarding and document storage; and financial record-keeping, allowing Customers to create invoices, record income and expenses, monitor payment status, and generate business reports. Access to specific tools and features depends on the plan purchased by the Customer, as described on the Learnaxis pricing page and in the Customer's order confirmation at the time of purchase.
2. Acceptance of These Terms
These Terms and Conditions (the "Terms") govern access to and use of the Learnaxis platform, available at https://learnaxis.co.uk (the "Platform" or "Service"), provided by Learnaxis ("Learnaxis", "we", "us", or "our"). By registering for an account, purchasing a plan, or otherwise accessing or using the Service, you ("Customer", "you", or "your") confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and Refund Policy, each of which is incorporated into these Terms by reference. If you are accessing the Platform on behalf of a business or other organisation, you confirm that you have the authority to bind that organisation to these Terms, and references to "you" in that context refer to that organisation. You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business you represent. If you do not agree to these Terms, you must not access or use the Service.
3. Eligibility and Account Registration
To use the Service, you must register for an account and provide accurate, current, and complete information during the registration process, keeping that information up to date throughout your use of the Platform. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not you personally carried out that activity, and must notify Learnaxis promptly of any unauthorised use of your account or other breach of security. Learnaxis is not liable for any loss or damage arising from your failure to safeguard your account credentials, except to the extent that loss arises from Learnaxis's own breach of these Terms or negligence.
The Service is intended for business use by small businesses, freelancers, sole traders, consultants, agencies, and other service-based businesses. By registering, you confirm that you are using the Service for legitimate business purposes and, where registering on behalf of a company, partnership, or other organisation, that you are duly authorised to bind that organisation to these Terms. Learnaxis reserves the right to refuse registration, or to suspend or terminate an existing account, where it reasonably believes the information provided is false or misleading, or where the account is used in a manner inconsistent with these Terms.
4. Plans and Fees
Access to the Platform is provided through a one-off, lifetime-access purchase. Learnaxis currently offers four plans — Starter (£79), Growth (£99), Team (£129), and Pro (£149) — each described in full, including the specific tools and usage limits included, on the Learnaxis pricing page. Customers select the plan that includes the features relevant to their business needs and pay a single fee for that plan to gain lifetime access to it. There is no recurring billing: once your payment is successfully processed, you are granted lifetime access to the tools included in your plan, and you will not be charged again for that plan.
Learnaxis may change plan fees from time to time. Any fee change will apply only to new purchases made after the change takes effect, and will not affect the lifetime access already granted under a plan you have already purchased.
You may upgrade to a higher-tier plan at any time, subject to the options made available on the Platform, by making an additional one-off payment for that plan. Upgrades take effect immediately. Because plans provide lifetime access, downgrading does not reduce or refund fees already paid; you will retain lifetime access to the tools included in your original plan unless you separately purchase a different plan.
5. Payment Processing
All payments made through the Service, including one-off plan payments, are processed securely through Stripe, a third-party payment processor. Where available, payments may also be made via Bacs Direct Debit. By providing payment details, you agree to Stripe's applicable terms of service and privacy policy in addition to these Terms. Learnaxis does not store full payment card details on its own systems, and does not hold or transmit Customer funds on behalf of any third party; such information is handled directly within Stripe's secure payment infrastructure.
If your payment for a plan fails to complete, you will not be granted access to that plan until a successful payment is made. If a payment is later reversed, for example due to a chargeback, Learnaxis may suspend or restrict the access granted by that payment until the matter is resolved, and may apply reasonable administrative charges in connection with failed or reversed payments where permitted by law.
Plan fees are exclusive of any applicable taxes, including VAT, unless otherwise stated, and such taxes will be added where required by applicable law. You are responsible for any taxes associated with your use of the Service, other than taxes based on Learnaxis's income.
6. Refunds and the Money-Back Guarantee
Learnaxis offers a 14-day money-back guarantee on eligible purchases. If you are not satisfied with the Service, you may request a refund within 14 calendar days of your initial purchase, subject to the eligibility criteria set out in the Learnaxis Refund Policy, which is incorporated into these Terms by reference. Refund requests outside of the eligibility window, or that do not otherwise meet the criteria of the Refund Policy, will be considered at Learnaxis's discretion. Refunds, where approved, will be processed back to the original payment method within a reasonable period.
Nothing in this Section or in the Refund Policy limits any statutory right to a refund, cancellation, or other remedy that a Customer may have under applicable consumer protection law, to the extent such rights cannot lawfully be excluded or limited by agreement.
7. Closing Your Account and Termination
Because each plan is a one-off purchase that grants lifetime access, there is no subscription to cancel and nothing renews or is charged again. If you no longer wish to use the Service, you may close your account at any time through your account settings or by contacting Learnaxis support directly. Closing your account does not entitle you to a refund of fees already paid, except where required by the Refund Policy or applicable law.
Learnaxis may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, misuse the Platform, or engage in conduct that Learnaxis reasonably believes poses a risk to Learnaxis, other customers, or third parties, or where required to do so by law or a competent authority.
Upon termination of your account, your right to access and use the Service will cease. Learnaxis may retain your data for a limited period following termination in accordance with the Privacy Policy, after which it may be deleted. You are responsible for exporting or backing up any data you wish to retain before your account is terminated. Sections of these Terms that by their nature are intended to survive termination — including but not limited to provisions relating to intellectual property, limitation of liability, indemnification, and governing law — will continue to apply.
8. Your Data and Content
As between Learnaxis and the Customer, the Customer retains ownership of all customer, project, employee, and financial data and other content that the Customer or its authorised users input into the Platform ("Customer Data"). Learnaxis does not claim ownership of Customer Data.
By submitting Customer Data to the Platform, the Customer grants Learnaxis a limited, non-exclusive licence to access, host, store, process, and display that Customer Data solely as necessary to provide, maintain, and improve the Service in accordance with these Terms and the Learnaxis Privacy Policy.
The Customer is responsible for the accuracy, legality, and appropriateness of any data it inputs into the Platform, including customer, financial, and employee information, and for ensuring it has all necessary rights and consents to input such data, including in relation to personal data belonging to its own customers, employees, or other third parties. Where the Customer stores personal data belonging to its own customers or employees within Learnaxis, the Customer is responsible for complying with applicable data protection law in relation to that data, including having a lawful basis for processing it.
While Learnaxis takes reasonable measures to protect and back up data on the Platform, Customers are encouraged to maintain their own copies of critical business records where practical, except to the extent Learnaxis has expressly agreed to provide backup services as part of a specific plan.
9. Acceptable Use
When using the Service, you agree not to: use the Platform for any unlawful purpose or in violation of applicable laws or regulations; upload or store data that infringes the rights of any third party, including intellectual property or privacy rights; attempt to gain unauthorised access to the Platform, other accounts, or Learnaxis's systems; interfere with or disrupt the integrity or performance of the Service, including through malicious code or excessive automated requests; reverse engineer, decompile, or attempt to extract the source code of the Platform, except as permitted by law, or use the Platform to build a competing product; or use the Service to process or store customer funds, act as a payment institution, or otherwise provide regulated financial services through the Platform.
Learnaxis reserves the right to investigate suspected violations of this Section and to take appropriate action, including suspension or termination of the relevant account, where it reasonably believes a violation has occurred.
10. Scope of the Service and Important Disclaimers
Learnaxis is a business management and organisational software platform, and the following limitations on the scope of the Service are an important part of these Terms and should be read carefully.
Learnaxis does not hold, custody, or take possession of Customer funds at any point. All payments processed through the Service are handled by Stripe, a third-party payment processor, which manages the movement of funds between payer and payee. Learnaxis's role is limited to providing the software tools that facilitate invoicing and payment collection.
Learnaxis does not process payroll and does not act as a payroll provider or an employer of record. The employee record, leave, onboarding, and document tools available within certain plans are administrative and organisational in nature and do not calculate, process, or remit wages, payroll taxes, or statutory payroll deductions. Customers requiring payroll services must engage a separate, dedicated payroll provider.
Nothing within the Service, including any income and expense tracking tools or business reports, constitutes accounting, tax, financial, investment, or legal advice, and should not be relied upon as such. Learnaxis does not prepare, review, or file tax returns on behalf of Customers, who remain solely responsible for meeting their own tax obligations, including by engaging a qualified accountant or tax adviser where appropriate.
Learnaxis is not a bank, electronic money institution, payment institution, or provider of regulated financial services. Payment processing functionality made available through the Platform is provided by Stripe, which is separately regulated as a payment services provider, and your use of payment features within Learnaxis is also subject to Stripe's own terms and conditions.
11. Intellectual Property
All rights, title, and interest in and to the Platform, including its software, design, trademarks, logos, and underlying technology (excluding Customer Data), are owned by Learnaxis or its licensors and are protected by applicable intellectual property laws. These Terms grant the Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for its own internal business purposes, in accordance with these Terms and the plan purchased, and do not grant the Customer any rights to use Learnaxis's trademarks, branding, or intellectual property except as necessary to use the Service as intended. The Customer must not copy, modify, distribute, sell, lease, or create derivative works based on the Platform, in whole or in part, except as expressly permitted by Learnaxis in writing.
12. Service Availability
Learnaxis aims to keep the Service available and operating reliably, but does not guarantee uninterrupted or error-free access. The Platform may be unavailable from time to time due to maintenance, updates, or circumstances beyond Learnaxis's reasonable control, and Learnaxis will endeavour to give reasonable notice of planned maintenance where practical.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Learnaxis will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of, or inability to use, the Service, even if Learnaxis has been advised of the possibility of such damages.
Nothing in these Terms excludes or limits Learnaxis's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law. Subject to the foregoing, Learnaxis's total aggregate liability arising out of or in connection with these Terms will not exceed the total fees paid by you to Learnaxis for the plan(s) giving rise to the claim.
14. Indemnity
You agree to indemnify and hold Learnaxis, its officers, employees, and agents harmless from and against any claims, losses, liabilities, damages, and expenses, including reasonable legal fees, arising out of your breach of these Terms, your misuse of the Service, your Customer Data, or your violation of any applicable law or the rights of a third party.
15. Changes to These Terms
Learnaxis may update these Terms from time to time to reflect changes to the Service, legal or regulatory requirements, or its business practices. Where changes are material, Learnaxis will provide reasonable notice before they take effect, such as by email to the address associated with the Customer's account or by a notice within the Platform. Continued use of the Service after any updated Terms take effect constitutes acceptance of those Terms. The version of these Terms in effect at any given time will be made available on the Learnaxis website, and Customers are encouraged to review it periodically.
16. Third-Party Services
The Service relies on and integrates with certain third-party services, including Stripe for payment processing. Use of such third-party services may be subject to their own separate terms and privacy policies, in addition to these Terms, and Learnaxis is not responsible for the acts, omissions, or availability of third-party providers, except to the extent required by applicable law.
17. Privacy
Learnaxis's collection and use of personal data in connection with the Service is described in the Learnaxis Privacy Policy, available on the Learnaxis website. By using the Service, you acknowledge that you have read and understood the Privacy Policy.
18. General
- Entire Agreement: These Terms, together with the Privacy Policy, Refund Policy, and any specific order confirmation applicable to a Customer, constitute the entire agreement between the Customer and Learnaxis regarding use of the Service, and supersede any prior agreements or understandings on that subject.
- Severability: If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions will otherwise remain in full force and effect.
- No Waiver: No failure or delay by Learnaxis in exercising any right under these Terms will operate as a waiver of that right, and any waiver of any provision will only be effective if made in writing.
- Assignment: You may not assign or transfer your rights or obligations under these Terms without Learnaxis's prior written consent. Learnaxis may assign these Terms, in whole or in part, in connection with a merger, acquisition, reorganisation, or sale of assets, or by operation of law.
- Governing Law: These Terms are governed by and construed in accordance with the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any disputes arising out of or in connection with these Terms, unless otherwise required by applicable consumer protection law.

20. Trial Periods and Promotional Offers
From time to time, Learnaxis may offer free trials, promotional pricing, or introductory discounts on certain plans. Where such offers are provided, additional terms specific to that offer may apply and will be made available at the time the offer is presented. Unless otherwise stated, any free trial will simply end at the conclusion of the trial period; it will not automatically convert into a paid purchase or charge you, and continuing to use the Service afterwards requires purchasing a plan. Learnaxis reserves the right to modify, suspend, or withdraw any promotional offer at any time, without affecting plans already purchased.
21. Support and Communications
Learnaxis provides customer support to help you use the Service effectively, generally available through the contact channels published on the Learnaxis website, and aims to respond to enquiries within a reasonable timeframe. Support does not extend to providing accounting, tax, payroll, or legal advice, and any guidance provided is limited to helping you use the Platform's features.
By creating an account, you consent to receive communications from Learnaxis relating to your account, plan purchases, and the Service, including administrative notices, payment confirmations, and updates to these Terms or Learnaxis's policies. You may separately opt out of non-essential marketing communications at any time, without affecting your receipt of essential service-related notices.
22. Feedback and Suggestions
If you choose to provide feedback, suggestions, or ideas about the Service, you agree that Learnaxis may use such feedback for any purpose, including to improve or develop the Platform, without any obligation to compensate you or attribute the feedback to you. You should not submit feedback that you consider confidential or that you wish to retain exclusive rights over.
23. Force Majeure
Learnaxis will not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disaster, war, civil unrest, telecommunications or internet failures, failures of third-party providers such as Stripe, or government action. In such circumstances, Learnaxis's obligations under these Terms will be suspended for the duration of the event, and Learnaxis will take reasonable steps to resume normal service as soon as practicable.
24. Export of Your Data
Where technically available, you may request an export of your Customer Data stored within the Platform. Customers are encouraged to periodically export or back up important records, particularly before closing an account or making significant changes to their plan. Following termination of your account, Learnaxis may retain a copy of your data for a limited period in accordance with the Privacy Policy, after which it may be permanently deleted and may not be recoverable.
25. Relationship Between the Parties
Nothing in these Terms is to be construed as creating a partnership, joint venture, agency, or employment relationship between you and Learnaxis. You are solely responsible for your own business operations, decisions, and compliance with applicable laws, and Learnaxis's role is limited to providing the software tools described in these Terms.
By using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, together with the Learnaxis Privacy Policy and Refund Policy referenced throughout this document.
